The professional boundaries and agreements that govern virtual assistant engagements with Digital Axons.
By engaging the services of Digital Axons and Niño Shunbun Rondina, you agree to the terms outlined below. These terms establish the professional boundaries and mutual expectations for all virtual assistant engagements unless a separate written agreement states otherwise.
Services are delivered as described in the agreed proposal or statement of work. Any work outside the defined scope will be discussed and agreed upon before commencement, and may be subject to additional fees.
Retained services are billed monthly in advance. Project-based work is billed per the agreed milestones. Invoices are due within seven days of issue unless otherwise stated in writing. Late payments may pause services until the balance is settled.
Clients agree to provide timely access to necessary systems, information, and points of contact required to perform the work. Delays caused by unavailable information may adjust agreed timelines accordingly.
Both parties agree to keep all proprietary, business, and personal information shared during the engagement strictly confidential. This obligation survives the end of the engagement and applies equally to any team members assigned to your account.
All deliverables created specifically for the client — including documents, content, and reports — become the client's property upon full payment. Pre-existing tools, templates, and methodologies remain the property of Digital Axons.
Working hours and availability windows are agreed per engagement. While we aim to accommodate urgent requests, response times outside agreed hours are not guaranteed unless arranged in advance.
Either party may end a retained engagement with 14 days' written notice. Project-based work may be terminated per the milestone terms in the statement of work. Fees for work completed up to the termination date remain payable.
Digital Axons is liable only for the services explicitly agreed. We are not liable for indirect or consequential losses, or for issues arising from client-provided information, systems, or third-party platforms beyond our control.
These terms are governed by the laws of the Republic of the Philippines. Any disputes will be addressed in good faith, and, if unresolved, referred to the appropriate jurisdiction within the Philippines.
